This Agreement governs services provided by Carrier (a licensed motor carrier) and HMH Logistics LLC (Broker, MC# 1544629), authorized by the Federal Highway Administration.
1. Broker authority. Broker is an agent authorized by its customers to negotiate and arrange transportation of shipments in interstate commerce. 1.1 Independent contractor. Carrier is an independent contractor and assumes full responsibility for payroll taxes, unemployment, workers' comp, and pensions. Carrier provides W-9 and Federal Tax ID before commencing services.
2. Transportation. Carrier transports interstate shipments per load confirmation agreements. 2.1 Non-solicitation. Carrier shall not solicit Broker's customers; liquidated damages of 10% commission apply on traffic with introduced customers for 1 year post-cancellation.
3. Payment. Broker pays per agreed rate confirmation. POD required with invoice. Net 30 from receipt. 3.1 Broker is sole party responsible for payment; Carrier shall not seek payment from shipper or consignee.
4. Insurance & safety. Carrier maintains: (a) cargo insurance ≥ $100,000 per shipment; (b) public liability ≥ $1,000,000 (BMC-91); (c) workers comp per state law; (d) COIs upon request; (e) satisfactory U.S. DOT safety rating; (f) compliance with all applicable laws. 4.1 All insurance must be from a B+ Best's-rated carrier, name HMH Logistics LLC as certificate holder, and provide 30 days' written notice of cancellation.
5. Governing rules. Uniform straight bill of lading; 49 C.F.R. §370 claims rules; Carmack Amendment (49 U.S.C. §14706) for cargo liability; destination market value, no consequential damages absent special agreement.
6. Documents. Carrier named on BOL as Carrier of Record. Broker shown as third-party payer.
7. Indemnification. Carrier indemnifies Broker and customers from any claims arising from Carrier's acts or omissions.
8. Cargo liability. Carrier assumes common-carrier liability for loss/damage while in care, custody, or control. Cargo tendered intact and released damaged is presumed Carrier's responsibility absent clear and convincing evidence otherwise. Broker may deduct claims from amounts owed to Carrier; unresolved claims at 90 days deducted in full. 8.1 Salvage. Carrier waives salvage rights and disposes of damaged goods at Broker's direction.
9. Law & integration. Texas state law, venue, and jurisdiction. Modifications require signed writing.
10. Savings clause. Invalid provisions severed; remainder remains in full force.
11. Term. One-year term, auto-renewing. Either party may terminate on 15 days' written notice.
